ExamExamPassRate Partner Program Agreement

This Partner Program Agreement (the "Agreement") is between TaggedWeb Inc., a Delaware corporation, 8 The Green, STE 21214, Dover, DE 19901, operator of ExamPassRate.com ("ExamPassRate", "we", "us"), and the person or business whose application we approve ("Partner", "you"). You accept it electronically by ticking the acceptance box on the application at exampassrate.com/partners while signed in; we record the date, time, version and your sign-in email, and email you a copy of that record. It takes effect when we approve your application (the "Start Date").
1. The program
1.1 Your link and code. When we approve you, we give you a personal
referral link (https://exampassrate.com/r/<your-name>) and a personal
discount code (together, your "Referral Tools"). Share them with your
audience, and we pay you a commission on what they buy.
1.2 Your audience's discount. Your code takes 25% off any ExamPassRate product at checkout. Your link applies the same discount automatically for 60 days after the click, with no code to type. It can't be combined with other promotion codes. Your code will always be at least as good as the best discount we publish on our own site.
1.3 Who can join. If you apply on your own, you must be an ExamPassRate customer who passed the exam you prepared for with us. We may ask for your score report before approving you. If we invite you, these requirements don't apply. We approve applications at our discretion.
1.4 Your dashboard. You sign in at exampassrate.com/partners with Google or an emailed link. Your dashboard shows your clicks, sales, commission, balance and payouts. It never shows buyers' names or emails.
2. Commission
2.1 Commission per sale. For each Qualifying Purchase we pay you a flat commission based on the product bought:

2.2 35% safeguard. A commission is never more than 35% of what the buyer actually paid for that purchase, after discounts and excluding sales tax. At current prices the flat amount always applies: $20 is 27% of the $74.25 a buyer pays for Complete Prep with your discount. The safeguard only matters if prices drop. For example, if Mock Exams were cut to $49, the buyer would pay $36.75 and the commission would be $12.86. We absorb payment processing fees. We may agree a higher rate with you in writing, and email counts. A higher rate applies to purchases made after we confirm it.
2.3 Our prices. We set our prices, and we may change them, run promotions, or add and remove products at any time without notice. Your commission on each sale is worked out under Sections 2.1 and 2.2 from what that buyer actually paid.
2.4 Qualifying Purchase means a completed, paid purchase on ExamPassRate.com where either:
- (a) your code was applied at checkout; or
- (b) the buyer clicked your link within the 60 days before the purchase, on the same browser.
If the buyer clicked more than one partner's link, the last click counts. If a partner's code was applied, that partner gets credit.
2.5 Not Qualifying Purchases: purchases by you, your household, or anyone buying on your behalf, and purchases made through any method listed in Section 4.2.
2.6 Records. Our referral records are authoritative. If you think a sale is missing, tell us within 60 days of the month it happened in, and we'll look into it in good faith.
3. Payouts
3.1 When commission becomes available. Commission on a Qualifying Purchase becomes available on the 15th of the month after the purchase. For example, a September sale becomes available on October 15.
3.2 Requesting a payout. You can request a payout from your dashboard once your available balance is at least $100. We pay within 10 business days of your request. Smaller balances stay in your account until they reach $100.
3.3 How we pay. We pay in US dollars by ACH bank transfer. Before your first payout, you'll receive an invite from our bank, Mercury, to enter your bank details and tax form. We never ask for bank details by email. A payment sent to the details you provided counts as paid.
3.4 Taxes. Before your first payout, you must give us an IRS Form W-9 if you're a US person, or a W-8BEN if you're not, through the Mercury invite. We issue a Form 1099-NEC when US law requires it. You're responsible for your own taxes on commissions.
3.5 Refunds. If a purchase is refunded within 120 days of the sale, for any reason including our pass guarantee, it earns no commission. If we already paid commission on it, that amount is deducted from your next payout. We never invoice you or ask you to pay money back. If you have no further earnings, we absorb it. Refunds more than 120 days after the sale are not deducted.
3.6 Chargebacks and fraud. Commission on purchases that are charged back, fraudulent, or in breach of Section 4 may be deducted from your future commissions, whenever we discover them.
3.7 Balances when the partnership ends. When this Agreement ends, we pay your full remaining available balance, of any amount, within 30 days after the last of your purchases becomes available. We never keep money we owe you.
4. How you promote
4.1 Disclosure, every time. In any content that includes your Referral Tools or recommends ExamPassRate, you must clearly disclose that you earn a commission. Do this in the content itself, spoken or on screen near the recommendation. Also put it in the description above the "show more" fold. Plain words work best: "I get a commission if you buy through my link." This is required by the FTC's Endorsement Guides, and it applies to videos, shorts, live streams, posts, newsletters, comments and messages alike.
4.2 Never:
- say or imply that our questions are real, official, retired, or leaked exam questions, or that we are affiliated with NASAA, FINRA, the SEC, Prometric, or any state regulator. Our questions are original, and we are not affiliated with any of them;
- promise that anyone will pass, or describe our pass guarantee differently from its written terms at exampassrate.com/terms;
- quote pass rates or results for ExamPassRate users that we haven't published ourselves;
- bid on search or social ads for "ExamPassRate", its misspellings, or our domain, or use our name in a domain, handle, or ad account;
- post your code on coupon, deal, or cashback sites or browser extensions, or send it by spam or unsolicited messages;
- buy through your own link or code, pay or reward people to buy, or use pop-ups, hidden frames, or auto-redirects to set the referral cookie;
- put your Referral Tools in content that is unlawful, hateful, or misleading.
4.3 Honest opinions. Say what you actually think about ExamPassRate.
5. Codes
5.1 Usage limits. Each code works for a set number of purchases, 200 at the start. We raise the limit when a partner is clearly driving their sales.
5.2 Leaked codes. If your code appears where Section 4.2 doesn't allow, such as a coupon site or browser extension, we may replace it at any time, whether or not you put it there. We'll email you the new code. Your link keeps working. Purchases already made keep their commission.
6. Brand use
6.1 During this Agreement, you may use the ExamPassRate name and logo only to promote ExamPassRate under this Agreement.
6.2 With your permission, we may name you as a partner and link to your public content.
7. Relationship
You're an independent contractor, not our employee, agent, or partner in any legal sense. Neither party is exclusive. Neither party may make commitments on the other's behalf.
8. Term, changes, and ending
8.1 This Agreement runs until either party ends it. Either party may end it for any reason with 15 days' notice by email.
8.2 We may end it immediately if you breach Section 4. In that case, commission on purchases tied to the breach is forfeited. Everything else you earned is still paid under Section 3.7.
8.3 If your Referral Tools produce no Qualifying Purchases for 12 months in a row, we may end this Agreement and pay out your balance under Section 3.7.
8.4 When this Agreement ends, we deactivate your link and code.
8.5 We may change the per-sale commission amounts, the customer discount, or these terms with 30 days' notice by email. Changes never reduce commission already earned. If you don't accept a change, you may end this Agreement before it takes effect. Changes to our prices, promotions or products are not changes to this Agreement and need no notice (see Section 2.3).
9. Confidentiality
Your commission rates and dashboard figures are confidential between us. Your code and your audience's 25% discount are not; share them freely.
10. Liability
10.1 Each party is responsible for its own content and its own compliance with the law. You'll defend us against claims arising from your content or a breach of Section 4. We'll defend you against claims that our product or the materials we supplied infringe someone else's rights.
10.2 Except for those obligations, neither party is liable for indirect or consequential damages. Our total liability under this Agreement is capped at the commissions paid to you in the 12 months before the claim.
11. General
11.1 Delaware law governs this Agreement.
11.2 This Agreement is the whole agreement on this subject. If any part of it is unenforceable, the rest still applies.
